Minor Participation Agreement & Liability Waiver

This Minor Participation Agreement and Liability Waiver ("Agreement") is entered into by and between Talent Share Corporation ("Talent Share"), the Parent or Legal Guardian ("Parent"), and the participating minor child ("Minor").
By registering a Minor for any program, course, workshop, coaching session, mentoring session, tutoring session, athletic instruction, artistic instruction, or other activity offered through Talent Share, the Parent agrees to the following terms:
- The Parent confirms that they are the legal parent or guardian of the Minor and have the authority to consent to the Minor's participation.
- The Parent understands that Talent Share is a platform that connects Talent Providers and Talent Seekers and that Talent Share does not directly supervise all activities conducted by independent Talent Providers.
- The Parent acknowledges that participation in educational, recreational, athletic, artistic, technical, or other activities may involve risks, including but not limited to physical injury, emotional stress, illness, property damage, or other unforeseen circumstances.
- The Parent voluntarily assumes all risks associated with the Minor's participation in activities offered through the Talent Share platform.
- To the fullest extent permitted by law, the Parent releases and holds harmless Talent Share Corporation, its officers, directors, employees, contractors, affiliates, partners, and representatives from any claims, liabilities, damages, losses, costs, or expenses arising from the Minor's participation in any Talent Share activity, except where caused by gross negligence or willful misconduct.
- The Parent agrees to supervise the Minor's use of the Talent Share platform and ensure compliance with all applicable platform policies and rules.
- The Parent authorizes Talent Share to communicate with the Minor as necessary for participation in approved activities, subject to applicable privacy laws and parental consent requirements.
- The Parent acknowledges that certain sessions may be recorded for educational, quality assurance, safety, or support purposes and consents to such recordings where applicable.
- The Parent certifies that the Minor is physically, mentally, and emotionally capable of participating in the selected activities and will disclose any relevant limitations to the Talent Provider when appropriate.
- The Parent understands that this Agreement is governed by the laws of the State of Maryland and shall remain effective for all Minor participation activities conducted through Talent Share unless revoked in writing.
Additional Provisions
Medical Emergencies
The Parent authorizes Talent Share and the applicable Talent Provider to seek emergency medical assistance for the Minor if the Parent cannot be reached in a timely manner and immediate action is reasonably necessary to protect the Minor's health or safety. The Parent assumes responsibility for any medical expenses incurred as a result of such emergency treatment.
Photo, Video, and Media Release
The Parent grants permission for Talent Share and authorized Talent Providers to capture photographs, video recordings, audio recordings, screenshots, or other media containing the Minor during participation in Talent Share activities.
Such media may be used for educational purposes, quality assurance, platform support, promotional materials, marketing, social media, website content, training materials, or other lawful business purposes unless the Parent submits a written opt-out request. Talent Share will not knowingly disclose a Minor's personal information in connection with such media without appropriate consent.
Dispute Resolution
In the event of any dispute arising from or relating to the Minor's participation in Talent Share activities, the parties agree to first attempt to resolve the matter through good-faith negotiations.
If the dispute cannot be resolved informally, the parties agree to participate in mediation before pursuing other legal remedies.
Binding Arbitration
Any claim, dispute, or controversy arising out of or relating to this Agreement, the Talent Share platform, or participation in Talent Share activities shall be resolved through binding arbitration administered by a recognized arbitration organization in accordance with its applicable rules.
The arbitration shall take place in the State of Maryland unless otherwise required by law. The parties waive their right to a jury trial and agree that arbitration shall be the exclusive method for resolving covered disputes, except where prohibited by law.
Online Safety Standards
Talent Share is committed to providing a safe and respectful learning environment for minors.
Parents and Minors agree that:
- All communications must occur through approved Talent Share channels.
- Harassment, bullying, discrimination, inappropriate language, or abusive conduct are strictly prohibited.
- Talent Providers must comply with all applicable child safety policies and platform requirements.
- Parents are encouraged to supervise and monitor their Minor's participation.
- Talent Share reserves the right to suspend or terminate access to any user who violates safety policies.
- Any suspected misconduct involving a Minor should be reported immediately to Talent Share.
Talent Share reserves the right to investigate safety concerns and take appropriate action to protect users and maintain platform integrity.
