Electronic Communications, Electronic Records, and Electronic Signatures

1. Consent to Conduct Business Electronically

By creating an account, accessing, registering for, or using the Talent Share platform (the "Platform"), you expressly consent to conduct business with Talent Share Corporation ("Talent Share," "we," "our," or "us") electronically. You agree that all agreements, notices, disclosures, authorizations, consents, communications, contracts, records, and other information that Talent Share provides to you electronically satisfy any legal requirement that such communications be in writing.

Your consent applies to all present and future interactions with Talent Share unless you withdraw your consent in accordance with these Terms.

2. Electronic Communications

Talent Share may communicate with you electronically through one or more of the following methods:

  • Email;
  • In-platform notifications;
  • Secure messaging within the Platform;
  • SMS or text messages (where permitted and applicable);
  • Push notifications through mobile applications;
  • Downloadable documents;
  • Electronic payment notifications;
  • Electronic invoices, receipts, statements, and tax documents;
  • Video or webinar notifications;
  • Customer support communications; and
  • Any other electronic communication method that Talent Share may reasonably implement.

You agree that these electronic communications constitute official communications from Talent Share.

3. Types of Electronic Notices

Electronic communications may include, without limitation:

  • Account registration confirmations;
  • Verification requests;
  • Login and security notifications;
  • Password reset instructions;
  • Updates to the Terms of Service, Privacy Policy, Community Guidelines, and Platform policies;
  • Program enrollment confirmations;
  • Payment confirmations and payout notifications;
  • Electronic Checks (eChecks), ACH payment notices, invoices, receipts, and billing statements;
  • Refund and chargeback notices;
  • Tax reporting documents (including IRS Forms 1099 or similar forms where applicable);
  • Compliance requests;
  • Customer support responses;
  • Marketing communications (subject to your communication preferences and applicable law); and
  • Any legally required notices relating to your use of the Platform.

4. Electronic Records

You acknowledge and agree that all electronic records created, maintained, or stored by Talent Share, including but not limited to account information, payment records, enrollment records, attendance records, communications, audit logs, timestamps, IP addresses, activity logs, transaction histories, system logs, and electronically executed agreements, constitute valid business records and may be relied upon by Talent Share as evidence in any legal, administrative, regulatory, arbitration, or judicial proceeding to the fullest extent permitted by applicable law.

5. Electronic Signatures

You agree that any action indicating your acceptance of an agreement or authorization on the Platform constitutes your legally binding electronic signature.

Examples include, but are not limited to:

  • Clicking "I Agree," "Accept," "Continue," "Submit," "Confirm," "Enroll," "Purchase," "Pay," "Register," "Create Account," or similar buttons;
  • Checking an acceptance box;
  • Digitally signing a document;
  • Uploading or submitting a signed document electronically;
  • Using any authentication method provided by Talent Share; or
  • Any other electronic action that reasonably demonstrates your intent to be legally bound.

You acknowledge that your electronic signature has the same legal force and effect as a handwritten signature and creates legally binding obligations.

6. Consent to Electronic Payments

You consent to receive payments electronically, including but not limited to:

  • Electronic Checks (eChecks);
  • ACH transfers;
  • Direct deposits;
  • Digital wallet payments;
  • Payment processor transfers;
  • Refunds;
  • Credits; and
  • Other electronic payment methods supported by Talent Share.

Payment notifications, remittance information, invoices, receipts, and related documentation may also be delivered electronically.

7. User Responsibilities

You agree to:

  • Maintain a valid and active email address;
  • Keep your contact information accurate and up to date;
  • Regularly review your email, account notifications, and messages;
  • Maintain the security of your email account and devices;
  • Protect your passwords and authentication credentials;
  • Notify Talent Share immediately of any unauthorized account access or suspected security incident; and
  • Ensure that your email system can receive communications from Talent Share without blocking or filtering them.

Failure to receive communications due to outdated contact information, spam filters, full mailboxes, internet outages, technical failures, or other issues within your control shall not relieve you of your obligations under these Terms.

8. Hardware and Software Requirements

You acknowledge that you possess or have access to the necessary hardware, software, internet connectivity, email services, and compatible devices required to receive, open, download, store, print, and retain electronic communications and records.

9. Withdrawal of Consent

You may withdraw your consent to receive electronic communications by providing written notice to Talent Share and discontinuing your use of the Platform.

However, because Talent Share operates primarily through electronic communications, withdrawal of consent may prevent us from:

  • Maintaining your account;
  • Processing payments;
  • Delivering services;
  • Providing customer support;
  • Fulfilling legal obligations; or
  • Continuing your participation on the Platform.

Talent Share reserves the right to suspend or terminate accounts where electronic communications are essential to providing the Services.

10. Record Retention

Talent Share may retain electronic records, communications, payment information, audit logs, account history, agreements, and transaction records for as long as reasonably necessary to:

  • Provide and improve the Services;
  • Process payments and refunds;
  • Resolve disputes;
  • Detect and prevent fraud;
  • Enforce these Terms;
  • Comply with legal, regulatory, accounting, tax, and contractual obligations; and
  • Protect the rights, property, and safety of Talent Share, its users, and third parties.

11. Third-Party Service Providers

Talent Share may use third-party providers to facilitate electronic communications, payment processing, electronic signatures, document delivery, identity verification, cloud storage, email services, and other operational functions.

You acknowledge that these providers may process your information solely for the purpose of delivering the requested services and are subject to their own contractual, legal, privacy, and security obligations.

12. Legal Validity

To the fullest extent permitted by applicable law, you agree that electronic communications, electronic records, electronic contracts, and electronic signatures are legally valid, enforceable, and admissible in evidence to the same extent as paper documents and handwritten signatures.

These provisions are intended to comply with applicable electronic transaction laws, including the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the Uniform Electronic Transactions Act (UETA), where adopted, and any other applicable federal, state, or international laws governing electronic records and electronic signatures.

13. Survival

This Electronic Communications, Electronic Records, and Electronic Signatures clause shall survive the suspension, termination, expiration, or closure of your Talent Share account to the extent necessary to enforce legal rights, process payments, maintain records, resolve disputes, comply with legal obligations, or protect the legitimate business interests of Talent Share Corporation.
